ADVERTISING & PROMOTIONS TERMS AND CONDITIONS

These Advertising & Promotions Terms and Conditions ("Promotion Terms") govern all  advertisements, promotional offers, discounts, memberships, and special pricing  (collectively, "Promotions") offered by Aevua Medical Spa ("Aevua," "we," "us," or  "our"), operated by AevuaOne LLC under the medical direction of the Medical  Director at BBAG Health Enterprises LLC, located at 449 W Mt Pleasant Ave, Suite  1, Livingston, NJ 07039. 

By engaging with, clicking, purchasing, redeeming, or otherwise participating in  any Promotion, you ("Client") acknowledge that you have read, understood, and  agree to be bound by these Promotion Terms in their entirety. If you do not agree,  do not engage with or accept any Promotion. 

AEVUA MEDICAL SPA IS OPERATED BY AEVUAONE LLC UNDER THE MEDICAL DIRECTION OF THE  MEDICAL DIRECTOR AT BBAG HEALTH ENTERPRISES LLC. INDIVIDUAL RESULTS MAY VARY. NO  SPECIFIC OUTCOME IS GUARANTEED. ALL PROCEDURES CARRY INHERENT RISKS; RESULTS  DEPEND ON AGE, SKIN TYPE, HEALTH HISTORY, AND TREATMENT AREA.

1. GENERAL PROVISIONS

1.1 Scope. These Promotion Terms apply to all Promotions offered by Aevua,  including but not limited to: sponsored posts on Meta (Facebook/Instagram),  TikTok, Google, and other third-party platforms; in-spa offers; email and SMS  campaigns; the Founding Diamond Membership and other membership program offers;  and limited-time price offers on Aevua's website at www.aevua.com

1.2 Integration with General Terms. These Promotion Terms are incorporated into  and supplement Aevua's General Terms of Service and Privacy Policy, available at  www.aevua.com. In the event of a conflict between these Promotion Terms and the  General Terms of Service, these Promotion Terms shall control with respect to  Promotions only. 

1.3 Age Requirement. All Promotions are available to individuals 18 years of age  or older only. Minors may not redeem Promotions without verified parental or  guardian consent, and only for services deemed medically appropriate by Aevua's  clinical staff.

1.4 Promotion Authorization. All Promotions are subject to Aevua's express  approval and availability. Aevua reserves the right to withdraw or modify any  Promotion at any time without prior notice, except as may be required by  applicable law.

2. ELIGIBILITY AND PROMOTION USE

2.1 One Use Per Client. Unless a Promotion expressly states otherwise, each  Promotion is limited to one (1) redemption per person, per household, or per  payment method, at Aevua's sole discretion. 

2.2 Non-Transferable. Promotions are strictly non-transferable and may not be  sold, gifted, assigned, or exchanged for cash or other value. Any Promotion  obtained through unauthorized or fraudulent means is void ab initio. 

2.3 Service-Specific Limitations. Promotions may be restricted to specific  services, packages, or products as identified in the offer. Promotions are not  applicable to prior purchases, outstanding balances, or existing appointments  unless expressly stated. 

2.4 Expiration. All Promotions are subject to expiration dates as stated in the  offer. Expired Promotions will not be honored under any circumstances, including  in cases of system error or miscommunication. 

2.5 Limited Availability — Founding Diamond Membership. The Founding Diamond  Membership is a limited-availability offer. Aevua may, in its sole and absolute  discretion, reduce the number of memberships made available at any time and  without prior notice, based on operational, clinical, or business considerations.  Once the available membership slots have been filled or the offer has been  withdrawn, no further memberships will be issued under this promotion. Aevua has  no obligation to honor requests received after the offer closes.

3. REDEMPTION PROCEDURE

3.1 Methods. Promotions may be redeemed in person at 449 W Mt Pleasant Ave, Suite  1, Livingston, NJ 07039; by telephone at (201) 540-9549; or through Aevua's  website at www.aevua.com. All redemptions are subject to appointment availability. 

3.2 Identity Verification. Aevua reserves the right to require government-issued  photo identification or other identity verification prior to redemption. Failure  to provide adequate verification may result in denial of the Promotion. 

3.3 Appointment Required. Most services require a scheduled appointment. 

Redemption of a Promotion does not guarantee immediate, same-day, or next-day  service availability. 

3.4 Consultation Requirement. Certain promoted services require a medical or  aesthetic consultation prior to treatment. Redemption of a Promotion does not  waive, defer, or replace this clinical requirement.

4. PRICING, ERRORS, AND MODIFICATIONS

4.1 Error Correction. Aevua reserves the right to correct any typographical  errors, pricing inaccuracies, or omissions in advertised Promotions at any time,  including after a Promotion has been purchased or redeemed, subject to applicable  law. In such cases, Aevua will offer the Client a corrected price or a full  refund. 

4.2 No Price Lock. Advertised promotional prices represent a one-time or limited time discount and do not establish any recurring entitlement to that price for  future services, packages, or products. 

4.3 Right to Cancel. Aevua reserves the right to cancel, suspend, or terminate any  Promotion at its sole discretion, including but not limited to cases of fraud,  suspected abuse, system error, or regulatory compliance requirements.

5. COMBINING OFFERS AND DISCOUNTS

5.1 No Stacking. Unless expressly stated in the offer, Promotions may not be  combined, stacked, or used in conjunction with other promotional offers, discount  codes, membership benefits, Luna Points redemptions, or any other discount  program. 

5.2 Discretionary Denial. Aevua reserves the right to decline any Promotion at its  sole discretion in cases of suspected misuse, fraudulent activity, or error in the  advertisement. 

5.3 Luna Points. Luna Points earned or applied under the Aevua loyalty program are  subject to separate Luna Points Terms and Conditions and cannot be combined with  advertised Promotions unless expressly permitted in writing by Aevua.

6. PAYMENT, REFUNDS, AND CANCELLATIONS

6.1 Payment at Time of Service. Discounted offers are applied at the time of 

treatment or purchase. Promotions are not redeemable for cash, store credit, or  transfer, unless expressly stated. 

6.2 Refund Eligibility. Refunds on discounted services are subject to Aevua's  standard refund policy. Refunds on pre-purchased promotional packages may be  prorated based on services rendered or may be non-refundable depending on the  terms of the specific offer. 

6.3 Cancellation Policy. Appointments must be canceled or rescheduled no less than  twenty-four (24) hours prior to the scheduled appointment time. Clients who cancel  with less than twenty-four (24) hours' notice, or who fail to appear for a  scheduled appointment without prior notice ("no-show"), will be charged a  cancellation fee equal to fifty percent (50%) of the total retail value of the  service(s) booked. This fee applies regardless of whether a Promotion, discount,  or membership benefit was applied to the appointment, and is not applied toward  any future service. By scheduling an appointment, Client expressly agrees to this  cancellation policy. Aevua reserves the right to require a credit card on file to  enforce this policy. 

6.4 No Cash Value. Unless required by applicable law, Promotions have no cash  value and may not be redeemed for cash, gift cards, or account credit.

7. MEDICAL DISCLAIMER AND INFORMED CONSENT

7.1 Services Covered. Aevua provides aesthetic and wellness services including,  but not limited to: laser hair removal (Candela GentleMax Pro), clinical skin  treatments, HydraFacials, corrective chemical peels, microneedling, Wellness IV  Therapy, and SkinCeuticals retail products. 

7.2 No Guarantee of Results. ADVERTISED RESULTS, BEFORE/AFTER IMAGES, AND  TESTIMONIALS REFLECT INDIVIDUAL EXPERIENCES ONLY AND ARE NOT GUARANTEED. RESULTS  VARY BASED ON AGE, SKIN TYPE, HEALTH HISTORY, HORMONAL FACTORS, AND TREATMENT  AREA. AEVUA MAKES NO REPRESENTATION THAT ANY CLIENT WILL ACHIEVE RESULTS SIMILAR  TO THOSE DEPICTED IN ADVERTISING MATERIALS. 

7.3 Consultation Requirement. Certain services require a pre-treatment clinical  consultation. Promotion redemption does not waive or substitute for this  requirement. 

7.4 Mandatory Medical Disclosure. Clients are required to fully and accurately  disclose all relevant medical conditions, medications, supplements, allergies, and  prior procedures before receiving any treatment. Failure to disclose may result in  adverse outcomes for which Aevua assumes no liability.

7.5 Aftercare Compliance. Clients agree to follow all pre- and post-treatment  instructions provided by Aevua's clinical staff. Disregard of aftercare  instructions may compromise results and shall negate any right to remedy, retreat,  or refund. 

7.6 Right to Refuse Treatment. Aevua, under the direction of its Medical Director  at BBAG Health Enterprises LLC, reserves the right to refuse or discontinue any  treatment if, in their clinical judgment, the service is contraindicated, unsafe,  or otherwise inappropriate for the Client. Where a Promotion has been pre purchased and treatment is refused on clinical grounds, Aevua will issue a refund  or credit at its discretion. 

7.7 Not Medical Advice. Nothing in any Aevua advertisement, social media post,  email, SMS message, or website content constitutes medical advice, diagnosis, or a  treatment plan. Clients should consult a licensed medical professional for  individualized medical guidance.

8. HIPAA AND PRIVACY

8.1 Use of Protected Health Information. Any protected health information (PHI)  collected in connection with Promotions, inquiry forms, or treatments will be used  solely for treatment, payment, and healthcare operations in strict accordance with  the Health Insurance Portability and Accountability Act (HIPAA) and applicable New  Jersey state privacy laws. 

8.2 Marketing Consent and Opt-Out. Submission of contact information in connection  with any Promotion (including via web forms, Meta lead forms, or in-spa intake)  may constitute consent to receive marketing communications from Aevua. Clients may  opt out at any time by replying STOP to any SMS message, or by contacting us at  info@aevua.com

8.3 TCPA Compliance. By providing a mobile telephone number in connection with any  Promotion, Client expressly consents to receive text messages from Aevua at that  number, which may include automated or pre-recorded messages. Message and data  rates may apply. Reply STOP to opt out at any time. Reply HELP for assistance.  Consent is not a condition of purchase or service. 

8.4 No Use of PHI for Advertising. Aevua does not use protected health information  for advertising or marketing purposes without the Client's explicit written  authorization, consistent with HIPAA requirements.

9. RIGHT TO REFUSE SERVICE

Aevua reserves the right to refuse service to any individual for any lawful  reason, including but not limited to: medical contraindication as determined by  Aevua's clinical or medical staff; behavior that is disruptive, threatening, or  abusive toward staff or other clients; failure to provide accurate medical  history; violation of Aevua's policies; or any other reason consistent with  applicable law. In cases where service is refused after a Promotion has been  purchased, Aevua will offer a refund or credit at its discretion.

10. LIMITATION OF LIABILITY

10.1 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AEVUA'S  TOTAL LIABILITY TO ANY CLIENT ARISING OUT OF OR RELATED TO ANY PROMOTION SHALL NOT  EXCEED THE AMOUNT ACTUALLY PAID BY THE CLIENT FOR THE SPECIFIC PROMOTIONAL SERVICE  IN QUESTION. 

10.2 Exclusion of Consequential Damages. AEVUA SHALL NOT BE LIABLE FOR ANY  INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT  NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR DISSATISFACTION WITH AESTHETIC OR  WELLNESS RESULTS, WHETHER ARISING IN CONTRACT, TORT, OR OTHERWISE. 

10.3 No Warranty. SERVICES PROMOTED HEREUNDER ARE PROVIDED ON AN "AS IS" BASIS.  AEVUA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE OUTCOME OF ANY  PROMOTED SERVICE.

11. THIRD-PARTY PLATFORM DISCLAIMER 

────────────────────────────────────────────────────────── 

Promotions distributed through third-party platforms including Meta  (Facebook/Instagram), TikTok, Google, and others are independent of those  platforms. Meta, TikTok, Google, and any other distribution platform are not  sponsors of, responsible for, or affiliated with Aevua's Promotions in any way.  All claims, inquiries, or disputes related to a Promotion must be directed to  Aevua, not to the hosting platform.

12. CHANGES TO THESE TERMS

Aevua reserves the right to update or modify these Promotion Terms at any time  without prior notice. Updated terms will be posted to www.aevua.com with a revised  "Last Revised" date. Continued engagement with any Promotion following such  posting constitutes acceptance of the revised terms. It is your responsibility to  review these terms periodically.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law. These Promotion Terms are governed by and construed in  accordance with the laws of the State of New Jersey, without regard to its  conflict of law provisions. 

13.2 Venue. Any dispute arising out of or relating to these Promotion Terms or any  Promotion shall be subject to the exclusive jurisdiction of the state and federal  courts located in Essex County, New Jersey, and Client hereby consents to personal  jurisdiction in those courts. 

13.3 Informal Resolution First. Prior to initiating any formal legal proceeding,  the parties agree to attempt in good faith to resolve any dispute informally by  contacting Aevua at info@aevua.com. Aevua will respond within thirty (30) days of  receiving written notice of the dispute.
